Antitrust: DOJ Files Complaint, Proposed Consent Decree to Prohibit Koch Foods’ Contract Termination Penalty Fees 🌾
On November 9, 2023, the U.S. Department of Justice (DOJ) filed, in the U.S. District Court for the Northern District of Illinois, a complaint alleging that poultry producer Koch Foods, Inc. “anticompetitively and unfairly required chicken farmers, or growers, to pay Koch a termination penalty to switch from working for Koch to a rival chicken processor.” United States v. Koch Foods, No. 1:23-cv-15813. Also announced by DOJ, the complaint states that “Koch’s termination penalty . . amounted to more than half of most growers’ total annual take-home income and sometimes more than one year’s entire take-home earnings.” Additionally, DOJ filed a proposed consent decree “that would prohibit Koch from penalizing growers for switching processors and require Koch to return certain expenses, fees and penalties it unlawfully imposed on growers.” If approved, the consent decree would prohibit Koch from including a termination penalty clause in grower contracts and require the company to reimburse producers for any penalty payments made or legal expenses incurred due to the policy; “inform all current growers with contracts containing a termination penalty provision that Koch will not enforce the provision;” and annually file certification of its compliance for seven years. According to the announcement, the proposed consent decree will be published in the Federal Register and open for public written comment for 60 days.
WOTUS: Twenty-Four States File Amended Complaint Challenging New WOTUS Rule
On November 13, 2023, twenty-four states filed, in the U.S. District Court for the District of North Dakota, an amended complaint seeking vacatur of the new “Waters of the United States” (WOTUS) final rule, issued September 2023. West Virginia v. EPA, No. 3:23-cv-00032. The amended complaint argues that the final rule interprets WOTUS too broadly under the Clean Water Act, is arbitrary and capricious, was “promulgated . . . in violation of multiple procedural obligations,” and violates “the Commerce Clause, Due Process Clause, and the Tenth Amendment of the U.S. Constitution.” Additionally, the North Dakota and Cass County Farm Bureaus filed an amended intervenor complaint seeking declaratory judgment and remand of the rule. Concurrently, Texas and Idaho, along with several agricultural advocacy groups, filed a second amended complaint in the U.S. District Court for the Southern District of Texas also seeking declaratory judgment and remand of the final WOTUS rule. Texas v. EPA, No. 3:23-cv-00017. Texas’s amended complaint shares identical language with the complaint submitted by the farm groups’ West Virginia amended complaint. Agricultural Labor: Business Groups File Lawsuit Challenging Joint Employer Rule
On November 9, 2023, twelve business advocacy groups filed, in the U.S. District Court for the Eastern District of Texas, a complaint requesting the court enjoin the National Labor Relations Board (NLRB) from enforcing its new joint employer final rule (88 FR 73946), issued October 27, 2023 and effective December 26, 2023. The groups allege that the final rule “displaces widely accepted common-law standards governing the scope of employment relationships, establishes entirely new tests of employer liability, reconfigures relationships among legally separate entities, erases distinctions between contractors and employers, and threatens billions of dollars in liability and costs.” The complaint argues that the final rule is “arbitrary and capricious” and “transgresses the [National Labor Relations Act] and is otherwise unlawful under the Administrative Procedure Act.” See also ALWR—Nov. 6, 2023, “National Labor Relations Board Publishes Final Rule for New Joint Employer Status Test.”
Food Safety: USDA Denies Petition Requesting Use of Surplus Broiler Eggs in Egg Products
On November 3, 2023, the U.S. Department of Agriculture (USDA) Food Safety and Inspection Service (FSIS) published a letter denying a May 2018 petition, submitted by the National Chicken Council (NCC), which requested that the agency “coordinate with the Food and Drug Administration (FDA) to exercise enforcement discretion to allow surplus broiler eggs to be processed into egg products under FSIS jurisdiction” by exempting them from regulatory refrigeration requirements “and instead rely[ing] on FSIS’ egg products regulations to control for Salmonella.” (Petition No. 18-06). According to FSIS’ letter, FSIS is authorized to regulate egg products under the Egg Products Inspection Act, which instructs the agency to “maintain an inspection program designed to assure consumers that egg products are safe, wholesome, not adulterated, and properly labeled,” while FDA maintains broader authority to regulate shell eggs under the Federal Food, Drug and Cosmetic Act (FFDCA). FSIS stated, “Because of this, FSIS must defer to FDA in requests regarding the use of shell eggs,” and denied NCC’s petition “in light of FDA’s June 12, 2023, letter denying [the] request because [FDA] determined that [the] requested action would not maintain the same level of public health protection as FDA’s egg safety rule.” See also ALWR—Feb. 20, 2023, “National Chicken Council Petitions FDA to Allow Sale of Surplus Eggs to Lower Egg Prices.”
National Agricultural Policy: USDA Seeks Comment on ‘Specialty Crops Competitiveness Initiative’
On November 9, 2023, the U.S. Department of Agriculture (USDA) Agricultural Marketing Service (AMS) published in the Federal Register a notice (88 FR 77257) seeking public comment and information on the agency’s Specialty Crops Competitiveness Initiative. According to the notice, the agency seeks information “on how USDA may better administratively support” the U.S. specialty crop industry across domestic and international markets. AMS is accepting public comments on the initiative until March 8, 2024. Additionally, USDA also announced that the agency had “conducted a departmentwide review of its current services and programs that support the specialty crops industry and compiled the information into a Specialty Crops Resource Directory.”

Avian Influenza: HPAI Outbreaks Confirmed in Missouri, North Dakota, and Oregon
As of November 16, 2023, the U.S. Department of Agriculture (USDA) Animal and Plant Health Inspection Service’s (APHIS) HPAI Confirmed Detections database reflected confirmed detections of highly pathogenic avian influenza (HPAI) in commercial flocks in Missouri, North Dakota, and Oregon, in addition to the previous—and additional—detections in Alabama, Arkansas, California, Iowa, Minnesota, South Dakota, and Utah. According to the database, HPAI has been detected in
- Benton County, Missouri—commercial broiler breeder flocks (16,600 birds affected);
- Jasper County, Missouri—commercial turkey flocks (29,300 birds affected);
- Lamoure County, North Dakota—commercial turkey flocks (25,200 birds affected); and
- Marion County, Oregon—commercial broiler flocks (123,500 birds affected).
Dairy Policy: Federal Milk Marketing Order Hearing to Reconvene November 27, 2023
On November 6, 2023, the U.S. Department of Agriculture (USDA) Agricultural Marketing Service published in the Federal Register a proposed rule (88 FR 76143) announcing that the Federal Milk Marketing Order Pricing Formula Hearing will reconvene at 1:00 p.m. ET on Monday, November 27, 2023, in Carmel, Indiana.

Conservation Programs: USDA Increases Conservation Stewardship Minimum Payment to $4,000
On November 7, 2023, the U.S. Department of Agriculture (USDA) Natural Resources Conservation Service (NRCS) announced that the agency will increase the Conservation Stewardship Program (CSP) minimum annual payments from $1,500 to $4,000, beginning in the 2024 fiscal year. According to the announcement, “the new minimum payment is available for new and renewed CSP contracts.” In Pennsylvania, applications for the first CSP funding round will be accepted until January 1, 2024.
National Agricultural Policy: USDA Awards $1.2 Billion in Loans and Grants for 112 Rural Cooperative Projects
On November 9, 2023, the U.S. Department of Agriculture (USDA) Rural Development announced the distribution of $1.2 billion in loans and grants for 112 projects led by rural cooperatives. The following organizations received funds for projects in Pennsylvania:
- MDVA Milk Producers Coop Association Inc. ($40 million): Funds “will be used to help purchase and equip the HP Hood milk processing facility in Philadelphia, Pennsylvania. The facility will help the Maryland and Virginia Milk Producers Cooperative Association (MDVA) increase from 10,000,000 to 25,000,000 gallons annually. The product mix includes white milk, flavored milk, eggnog, creams, lactose-free milk, and high-protein milk.”
- Keystone Development Center ($200,000): Funds “will be used to support Keystone Development Center’s (KDC) mission to improve the economic condition and quality of life of rural communities . . . in Pennsylvania, Delaware, New Jersey and Maryland . . . . KDC will host the Cooperative Academy and support the development of at least 17 cooperative projects.”
- Keystone Development Center ($175,000): Funds “will be used to . . . work in collaboration with a grass-fed lamb producer cooperative led by female ranchers in rural Maryland, an all-women owned dance studio cooperative in Meadville, Pennsylvania, and the Rappahannock Tribe in Virginia to establish a producer cooperative that will create wellness products and organic produce on Tribal-owned land.”
