Agribusiness: FinCEN Publishes Interim Final Rule Limiting BOI Reporting Requirement to Foreign Companies 🌾
On March 26, 2025, the U.S. Financial Crimes Enforcement Network (FinCEN) published in the Federal Register an interim final rule (90 FR 13688) to require only “foreign reporting companies” to report Beneficial Ownership Information (BOI) under the Corporate Transparency Act (CTA). According to the rule, “entities previously defined as ‘domestic reporting companies’ are exempted from the reporting requirements and do not have to report BOI to FinCEN, or update or correct BOI previously reported to FinCEN.” Additionally, foreign reporting companies are not required to “report the BOI of any U.S. persons who are beneficial owners of the foreign reporting company” nor are U.S. persons required to “provide such information to any foreign reporting company for which they are a beneficial owner.” Under the rule, entities formed before March 26, 2025, must file BOI by April 25, 2025, and any entity formed after March 26 must file BOI within 30 days of its registration. The interim final rule is available for public comment until May 27, 2025.

Agribusiness: Kentucky, Utah Pass Laws Restricting Foreign Agricultural Land Ownership
On March 25, 2025, Kentucky Governor Andy Beshear signed into law H.B. 315 (PDF), which prohibits foreign governments or anyone with a legal relationship with foreign governments from holding interest in public or private agricultural land within the state. Also announced by the governor, HB 315 also prevents certain foreign governments or their agents from participating in any Kentucky Department of Agriculture, Agriculture Development Board, or Agriculture Finance Corporation programs. The bill specifies that foreign governments or agents currently holding an interest in agricultural land may continue to hold that interest but may not obtain interest in additional land. Additionally, also on March 25, 2025, Utah Governor Spencer Cox signed into law H.B. 430 (PDF), which establishes a criminal offense for “a person purchasing or leasing land on behalf of a restricted foreign entity” or “an individual who fails to disclose to a county recorder the individual’s connection to a restricted foreign entity.” See also National Agricultural Law Center article, Restricting Investments ‘On Behalf Of’ Foreign Entities: Utah Amends State Foreign Ownership Law (April 1, 2025).

Dairy Policy: Pennsylvania Milk Board Publishes Notice of May 2025 Over-Order Premium Hearing
On April 5, 2025, the Pennsylvania Milk Board (PMB) published in the Pennsylvania Bulletin a notice (55 Pa.B. 2699) (PDF) announcing that the board will hold a public hearing on May 7, 2025, for Milk Marketing Areas 1–6. According to the notice, “the purpose of the hearing is to receive testimony and exhibits concerning the level and duration of the Class I over-order premium.” The current over-order premium of $1.00 per hundredweight is effective until June 30, 2025.

Animal Health: Federal Court Grants Summary Judgment to FDA on Cattle Ammonia Drug Approval
On April 1, 2025, the U.S. District Court for the Northern District of California issued an order granting summary judgment in favor of the U.S. Food and Drug Administration (FDA) and animal health company Elanco in a case challenging FDA’s approval of Elanco’s drug “Experior,” which “is touted to reduce the amount of ammonia gas released from the waste of cattle raised for beef.” Animal Legal Defense Fund v. Azar, No. 3:20-cv-03703. In approving Experior, FDA prepared an Environmental Assessment, which resulted in a  Finding of No Significant Impact (FONSI) under the National Environmental Policy Act (NEPA). The plaintiffs claimed that these actions were “absolutely irreconcilable,” stating that FDA had “approve[d] a drug based on its alleged environmental effects, but then . . . conclude[d] it will not actually impact the environment.” However, the court found that the “plaintiffs are conflating the issue of whether Experior will function to lower the ammonia gas emissions from commercial beef production with a narrower question . . . whether Experior will ‘significantly affect the quality of the human environment’ in other ways.” The court stated, “To the extent that plaintiffs continue to mistake effects on the atmosphere with the claimed effect of ‘reduction of ammonia gas emissions per pound of live weight and hot carcass weight,’ it is irrelevant that the FDA did not require proof that Experior achieved any particular environmental results (other than the requirement that it not cause significant harm to the environment).” See also ALWR—June 4, 2024, “FDA Completes Review of Dairy Cattle Methane-Reducing Feed Supplement, ‘Does Not Intent to Initiate Enforcement.’” 

Dairy Policy: Utah Passes Bill Establishing Raw Milk Foodborne Illness Protocol
On March 19, 2025, Utah Governor Spencer Cox signed H.B. 414 (PDF), which “addresses enforcement steps with regard to raw milk, including when raw milk is suspected in a food borne illness outbreak.” The new law defines “foodborne illness outbreak” as “the occurrence of two or more cases from different households of a similar illness resulting from the ingestion of a common food” and requires testing for certain pathogens if a raw milk producer is “implicated in a foodborne illness outbreak” or if the raw milk’s bacterial or coliform count exceeds 40,000 or 20,000 colony forming units per millimeter, respectively. If the state determines that a producer’s raw milk is linked to a foodborne illness outbreak, the law permits the state to issue a cease and desist order, suspend the producer’s raw milk permit, and issue fines of $300–$1,500, depending on the offense. The bill becomes effective May 7, 2025.
